HEAD LEGAL & COMPANY SECRETARY

JOB BRIEF

The successful candidate will report to the Chief Executive Officer and Board of Directors.  The purpose of the role is to provide legal advisor support to the Bank and its various departments on all matters, to ensure the efficient and proper perfection of all Bank securities, to liaise with external legal counsel on all matters affecting the Bank and ensure bank is pursuing vigor all avenues to minimize losses on its lending portfolio. S/he will be responsible for identifying legal risks associated with the operations of the bank and proposing mechanisms for mitigating such risks.

JOB ROLE

  • To ensure perfection of documentation and co-ordinate with the external lawyers’ facilities granted to the clients.
  • Initiate recovery actions against defaulters by co-ordinating with legal firm/auctioneers/debt collectors so as to ensure the process is expedited, positive outcome, beneficial to the bank’s interest.
  • To engage in arbitration/ settlement/ negotiation  with the key defaulter or probable defaulter clients, so as to ensure zero addition of NPLs to the bank incrementally
  • To attend all board meetings / AGM, prepare minutes, files, circulations of board papers
  • To co-ordinate with external lawyers on all aspects of litigation and cases in court, for a quick resolution and disposal.
  • Prepare and conduct yearly training programme and schedule for staff at credit department and branches on the key areas of legal and compliance risk to the bank.
  • Maintain the seal registers and keep in custody the company file and statuary register as per the bank’s policy and companies Act (registers – directors/secretary /shareholders.)
  • To ensure complete control and custody of all the bank’s collateral securities and important documents.
  • Proactively guide the management on all legal matters affecting the Bank.
  • Ensure adherence to the Companies Act, Banking Act, and other legislation, including subsidiary legislation.
  • To update management on all new legislations and prepare brief on the same.
  • Ensure the bank is compliant to statutory and regulatory requirements issued from time to time.
  • Draft, review, agreements, contracts and including other legal instruments.
  • Ensure the application of statutory provisions in the Bank’s business operations and environment.
  • Any other related duties that may be assigned from time to time.

KEY PERFORMANCE MEASURES

  • Review of all facilities granted to ensure perfection of documentation and compliance
  • To ensure appropriate recovery actions, at minimal costs, timely with positive result in favor of the bank.
  • To ensure attainment of yearly recovery targets in write-off and NPL cases.
  • To review, draft , prepare contract, agreement, policies and legal instruments for the Bank
  • To provide legal opinions on done timely basis
  • Ensure accurate recording of the proceedings of the meetings of the Board and its Committees.

JOB REQUIREMENT

Knowledge and Qualification

  • Bachelor of Laws Degree
  • Advocate of the High Court of Tanzania and courts subordinate thereto,

Experience

Minimum of 5 years post-qualification experience in a managerial position, 3 of which must be in a bank with experience in a debt recovery.
